Terms of Service

By accessing the website at nemicoconsulting.com and/or nemicoconsulting.co.za or engaging the services of Nemico, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you are prohibited from using this site or our services.

Nemico provides business optimisation, operational diagnostics, and strategic financial resilience consulting. All advice, frameworks, and audits provided are based on the information supplied by the client. While we strive to provide highly accurate and effective optimisation strategies, the successful implementation and subsequent financial outcomes depend on the client’s internal execution.

We acknowledge that during our engagements, we will be exposed to sensitive commercial, financial, and operational data. Nemico agrees to hold all client information in strict confidence and will not disclose such information to any third party without prior written consent, except as required by law. Formal Non-Disclosure Agreements (NDAs) can be executed upon request prior to the commencement of any Diagnostic & Foundations Pack or Retainer engagement.

All proprietary frameworks, process maps, diagnostic tools, and methodologies deployed by Nemico remain the intellectual property of Nemico. Clients are granted a non-exclusive, non-transferable license to use the customized reports and operational frameworks generated during an engagement solely for their internal business purposes.

Our engagements are structured and billed as follows:

• Diagnostic & Foundations Packs & Strategic Advantage Projects: Fees for fixed-scope diagnostics are billed upfront and are non-refundable once the audit process has commenced.
• Strategic Advantage: R8,500–R15,000 per fixed-scope project, with a standard quote of R12,500 subject to agreed scope. Payment is 50% upfront and 50% on delivery. Covers one operational workflow, 4–6 consultation hours, a tailored roadmap with KPIs and two weeks of limited email or WhatsApp follow-up. Total specialist time, including consultation, preparation, analysis and reporting, is capped at 8 hours for R8,500, 12 hours for R12,500 or 15 hours for R15,000. Follow-up channels and response limits are confirmed in writing. Additional workflows, travel and hands-on implementation require a separate quote and written approval.
• Retainers: Executive Partnership is R20,000–R40,000 per month, with activities, hours and travel agreed in writing. Monthly retainers are billed in advance.
• Onsite Deployments: VIP onsite deployments (domestic or global) require upfront payment of a mobilisation fee to secure travel and logistical arrangements.

Final fees, scope, expenses and applicable VAT treatment are confirmed in the written quote before work starts. Diagnostic findings do not oblige you to purchase implementation or a monthly partnership.

To the maximum extent permitted by applicable South African law, Nemico and its directors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, or goodwill, resulting from your access to or use of, or inability to access or use, our services. In all cases, Nemico’s total liability shall be strictly limited to the total fees paid by the client for the specific consulting engagement in question.

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions. Any disputes arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
